By submitting an application and purchasing wholesale products from Killshot Coffee Co., you (“Customer”) agree to the following terms and conditions. Please read them carefully before applying for wholesale pricing. By checking the box, you acknowledge that you have read, understood, and agreed to these terms.

1. Business Identity

Killshot Coffee Co. is a hunting and outdoors lifestyle coffee brand. By opting in to our messaging services, you may receive SMS/MMS messages related to order confirmations, shipping updates, promotional offers, ambassador program communications, and community announcements. Message content will always relate to Killshot Coffee Co. products, services, and community programs.

2. Eligibility

To qualify as a wholesale customer with Killshot Coffee Co., you must:

Be a registered business with a valid Employer Identification Number (EIN).
Provide any necessary business documentation upon request.

3. Product Availability

Wholesale products are available only when in stock.
Killshot Coffee Co. reserves the right to adjust product availability at any time.

4. Minimum Order Requirements

Minimum order quantities vary by product type (e.g., bagged coffee, coffee pods). Specific minimums will be listed on the product pages.
Orders under $500 must be prepaid on the website.
Orders over $500 may qualify for Net 15 payment terms (see Section 5).

5. Payment Terms

Orders Under $500: Payment must be made at the time of purchase via the website.
Orders Over $500: Net 15 payment terms are available upon approval. Late payments are subject to a 1% monthly penalty.
Wholesale pricing is fixed and non-negotiable. For distributor pricing and next-tier price breaks, please inquire at support@killshotcoffeeco.com.

6. Shipping and Delivery

Free shipping is available for orders over $500.
Standard shipping rates apply for orders under $500.
Killshot Coffee Co. uses USPS for all deliveries.
Shipping lead times typically range between 3–4 business days, depending on order size.
Killshot Coffee Co. is not liable for products after shipment. Ownership and risk transfer to the Customer once the product is handed to the carrier.

7. Changes and Cancellations

To modify or cancel an order, you must email support@killshotcoffeeco.com as soon as possible. Changes or cancellations are not guaranteed if the order has already been processed or shipped.

8. Returns and Refunds

Returns and refunds are evaluated on a case-by-case basis.
For any issues, customers must contact Killshot Coffee Co. staff at support@killshotcoffeeco.com.
9. Sales Tax Exemption

Customers may be exempt from sales tax if they provide valid business documentation, including a resale certificate or tax exemption form.

10. SMS/MMS Messaging Terms

10.1 Opt-Out & Support

You can cancel the SMS service at any time. Just text “STOP” to the short code or phone number from which you received messages. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

10.2 Carrier Liability

Carriers are not liable for delayed or undelivered messages.

10.3 Message Frequency & Data Rates

As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies based on your account activity and program participation. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

10.4 Privacy

If you have any questions regarding privacy, please read our privacy policy.

11. Intellectual Property

Killshot Coffee Co.’s logos, branding, and trademarks may not be used without explicit, written consent.
Customers are prohibited from modifying, misrepresenting, or reproducing Killshot Coffee Co. intellectual property in any manner.
Violation of these terms may result in the termination of the wholesale relationship and legal action.

12. Termination of Agreement

Killshot Coffee Co. reserves the right to terminate this agreement and cease wholesale relationships if any breach of terms occurs.
Breaches include but are not limited to failure to comply with payment terms, misuse of intellectual property, or violations of applicable law.

13. Limitation of Liability

Killshot Coffee Co. is not responsible for any loss or damage to products after shipment.
Killshot Coffee Co. disclaims liability for any indirect, consequential, or incidental damages arising from product use or delivery delays.

14. Governing Law

This agreement is governed by the laws of the State of Arkansas.
Any disputes will be resolved exclusively in the courts located in North Little Rock, Arkansas.
